Authorized Resale Policy

Products sold by Spotwise OÜ under the Spotminders brand (“Spotminders”) are intended for personal, non-commercial use only. Purchasing or possessing genuine Spotminders Products (“Products”) does not grant any right to resell, distribute, advertise, or otherwise commercially offer the Products.

This Authorized Resale Policy (“Policy”) sets out the conditions under which Spotminders Products may be resold and protects Spotminders’ customers, brand, intellectual property, and authorized distribution channels.

 

1. RESALE REQUIRES WRITTEN AUTHORIZATION

1.1 Unless expressly authorized by Spotminders in writing, no person or entity may purchase, offer, advertise, distribute, or sell Spotminders Products for commercial resale.

1.2 Without such authorization, purchasers may not:

(a) resell or distribute Spotminders Products commercially;

(b) list or offer the Products on Amazon, eBay, Walmart Marketplace, TikTok Shop, Facebook Marketplace, or any other third-party marketplace;

(c) sell the Products through an e-commerce store, social media commerce channel, or physical retail channel;

(d) supply the Products to another reseller or distributor; or

(e) represent themselves as an authorized Spotminders reseller, distributor, partner, or representative.

1.3 Spotminders reserves the right to limit, reject, or cancel orders that, in its reasonable judgment, appear to be placed for resale or distribution purposes.

1.4 Possession or purchase of genuine Spotminders Products does not constitute or imply authorization to resell them.

2. AUTHORIZED RESELLERS

2.1 Only persons or entities expressly authorized by Spotminders in writing may act or represent themselves as authorized Spotminders resellers or distributors.

2.2 Authorized resellers must comply with the applicable reseller or distribution agreement, Spotminders brand guidelines, marketplace requirements, and any other conditions communicated by Spotminders.

2.3 Spotminders may grant, limit, suspend, or revoke reseller authorization in accordance with the applicable authorization or agreement.

 

3. USE OF INTELLECTUAL PROPERTY AND PRODUCT PRESENTATION

3.1 Purchasing Products does not grant any license or right to use Spotminders trademarks, logos, product photography, marketing materials, website content, or other intellectual property for commercial purposes.

3.2 Unless expressly authorized in writing, no person or entity may use Spotminders branding or content in a way that suggests an official relationship, authorization, sponsorship, or endorsement by Spotminders.

3.3 Products may not be altered, repackaged, relabeled, or presented in a false or misleading manner. Product information, warnings, instructions, and other manufacturer information must not be removed, obscured, or misrepresented.

 

4. UNAUTHORIZED RESALE

4.1 Spotminders reserves the right to investigate suspected unauthorized resale, distribution, listings, or representations involving its Products and to take appropriate action under applicable law or agreement.

4.2 Where appropriate, Spotminders may:

(a) contact the seller or purchaser and request information regarding the source of the Products;

(b) request proof of reseller authorization;

(c) request the removal or correction of unauthorized listings or representations;

(d) notify marketplaces, platforms, service providers, or other relevant third parties;

(e) suspend or terminate commercial relationships; and

(f) exercise any other rights or remedies available under applicable law or agreement.

4.3 Purchases made from unauthorized sellers are not covered by Spotminders’ Refund Policy. Spotminders cannot verify or guarantee the authenticity, quality, condition, safety, or storage of Products obtained from unauthorized or unverified sellers, including third-party marketplaces.

4.4 Nothing in this Policy limits Spotminders’ rights concerning trademark or copyright infringement, counterfeit products, misleading representations, unfair competition, or other unlawful conduct.

 

5. NO IMPLIED RIGHTS

5.1 No purchase, sale, shipment, communication, or possession of Spotminders Products creates or implies a reseller relationship, distribution agreement, trademark or copyright license, agency relationship, endorsement, or other commercial authorization.

5.2 Any authorization to resell or distribute Spotminders Products must be expressly granted by Spotminders in writing.

 

6. POLICY UPDATES

6.1 Spotminders may update this Policy from time to time. The current version may be published on the Spotminders website or through other official communication channels.

6.2 Where Spotminders has entered into a separate written agreement with an authorized reseller or distributor, the terms of that agreement will apply in the event of a conflict with this Policy.

Spotminders reserves all rights not expressly granted under this Policy.
